SEC Services

Many high technology companies list their shares on the U.S. Stock Exchange to raise capital and increase their name and product recognition in the U.S. as well as international markets.  Listing a company’s shares on a stock exchange also helps to boost the market value of the shares, recruit employees by offering stock options, obtain bank financing, and make future acquisitions with stock.

We can assist clients in providing information for an initial public offering.  We will work closely with our clients to evaluate whether a public offering is attainable and desirable, as well as offer them alternative options.  During this process, we can advise our clients on the appropriate filing of forms and determine proper disclosures.  In order to generate timely and detailed information, we offer consultation in the expansion of our clients’ internal accounting system.  We can also assist in other financing alternatives such as bank loans, private placement of debt or equity, etc.

E-Commerce

E-commerce offers companies with fast and inexpensive ways to advertise their product and take sales orders at any hour.  E-commerce also helps companies reduce their overhead by centralizing inventory, facilities, and personnel, as well as provide up-to-date sales and product information.  No international standards have been finalized on taxing global e-commerce.  Until further guidance is available, businesses can take certain precautions to minimize their exposure to foreign taxation, especially countries that have income tax treaties.  We can provide guidance with respect to proposed standards and can advise clients in precautionary and preventive measures to reduce the risk of taxation of e-commerce.

Business Valuations

We perform business valuations on closely held companies, partnerships, employee stock ownership plans, incentive stock options, goodwill, and other tangible and intangible properties.  We perform these engagements on a confidential basis for stakeholders and their professional advisors.  We are dedicated to deliver reliable, understandable, and creditable appraisals to our clients in a cost-effective and timely manner by adhering to high ethical standards, maintaining independence and preserving integrity.
